PLEASE READ THESE TERMS OF USE (“TERMS”) CAREFULLY BEFORE ACCESSING OR USING THE WEBSITE LOCATED AT https://quinnparfums.com/ (THE “SITE”) OR PURCHASING PRODUCTS FROM QUINN PARFUMS (“QUINN PARFUMS,” “WE,” “US,” OR “OUR”).

By accessing, browsing, or using the Site, creating an account, or placing an order for products, you (“User,” “Customer,” or “you”) agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you are expressly prohibited from accessing or using the Site or purchasing products through the Site.

The Site is intended solely for users who are at least eighteen (18) years of age or the age of legal majority in their jurisdiction of residence. By using the Site, you represent and warrant that you meet this age requirement.

If you create an account on the Site, you are responsible for maintaining the confidentiality of your account credentials and for restricting access to your computer or device. You agree to accept full responsibility for all activities that occur under your account. You must notify us immediately at qpteam@quinnparfums.com of any unauthorized use of your account or security breach.

All sales of physical goods made through the Site are governed by general commercial law principles, including Article 2 of the Uniform Commercial Code (UCC) as enacted in applicable jurisdictions within the United States.

All products offered on the Site are subject to availability. We reserve the right to limit the order quantity of any item, refuse service to any customer, or cancel orders at our sole discretion.

Prices for products are listed in U.S. Dollars (USD) unless otherwise specified and are subject to change without notice. In the event that a product is listed at an incorrect price or with incorrect information due to a typographical error, software malfunction, or error in pricing information, Quinn Parfums reserves the right to cancel or refuse any orders placed for that product, regardless of whether the order has been confirmed and your payment processed. If your payment has already been processed and your order is canceled, we will issue a credit to your original payment method in the amount charged.

Receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Quinn Parfums reserves the right at any time after receipt of your order to accept, decline, or limit your order for any lawful reason.

You are responsible for all applicable sales, use, value-added (VAT), excise, customs duties, tariffs, or other governmental taxes and fees associated with your purchase and shipment of products, whether domestic or international.

All purchases of physical items from the Site are made pursuant to a shipment contract. Title to and risk of loss or damage for all products pass to you upon our delivery of the items to the initial third-party carrier (e.g., USPS, UPS, FedEx, or international postal/courier services).

For orders shipped outside the United States, you are considered the importer of record and must comply with all laws and regulations of the destination country. You are responsible for clearing goods through customs and paying all associated import duties and taxes. Quinn Parfums is not responsible for items delayed, held, confiscated, or destroyed by customs authorities.

Shipping and delivery dates are estimates only and cannot be guaranteed. Quinn Parfums is not liable for any delays in shipment caused by shipping carriers, customs clearance procedures, weather events, acts of God, governmental action, war, civil unrest, labor disruptions, or any other circumstances beyond our reasonable control.

The Site and all of its content, including but not limited to text, graphics, logos, button icons, images, product formulations, packaging designs, audio clips, digital downloads, data compilations, and software (collectively, the “Content”), are the exclusive property of Quinn Parfums or its content suppliers and are protected by United States and international copyright, trademark, trade dress, and other intellectual property laws.

Subject to your strict compliance with these Terms, Quinn Parfums grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and make personal, non-commercial use of the Site. This license does not include any resale or commercial use of the Site or its Content; any collection and use of product listings, descriptions, or prices; or any derivative use of the Site or its Content.

"Quinn Parfums," the Quinn Parfums logo, and all related brand names, logos, product names, designs, and slogans are trademarks or trade dress of Quinn Parfums. You may not use such marks without our prior written authorization.

Quinn Parfums reserves the right, in its sole and absolute discretion, without prior notice or liability, to terminate, suspend, or restrict your access to all or any part of the Site, or to deactivate or delete your account, for any reason or no reason, including but not limited to your breach of any provision of these Terms or fraudulent, abusive, or illegal activity. Upon termination of your access or account, your right to use the Site shall immediately cease.

You agree not to use the Site to:

1. Violate any applicable local, state, national, or international law, statute, ordinance, or regulation.

2. Interfere with, compromise, or disrupt the security, integrity, or performance of the Site or its connected servers and networks.

3. Use any robot, spider, scraper, deep-link, or other automated data gathering or extraction tools to access the Site for any purpose without our express written permission.

4. Introduce viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful software to the Site.

5. Attempt to gain unauthorized access to any portion of the Site, user accounts, or computer systems connected to the Site.

6. Engage in any conduct that restricts or inhibits any other user from using or enjoying the Site.

You agree to defend, indemnify, and hold harmless Quinn Parfums, its members, managers, officers, employees, agents, contractors, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of the Site or products; (c) your User Content; or (d) your violation of any statutory, regulatory, or common law rights of any third party.

If you post reviews, comments, photos, or other content (“User Content”) to the Site or tag Quinn Parfums on social media platforms, you grant Quinn Parfums a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media now known or hereafter developed. You represent and warrant that you own or control all rights to the User Content you post and that your content does not violate these Terms or infringe upon any third-party rights.

The Site may contain links to third-party websites, applications, services, or resources (e.g., payment processors, social media networks, shipping carriers, or external software plugins) that are not owned or controlled by Quinn Parfums. We do not endorse, sponsor, warrant, or assume any responsibility for any third-party websites, information, materials, products, or services. If you access any third-party website or service from the Site, you do so entirely at your own risk. You acknowledge and agree that Quinn Parfums shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available on or through any such third-party web sites or services. We strongly encourage you to review the terms of use and privacy policies of any third-party service you visit. 

EXCEPT AS EXPRESSLY PROVIDED OTHERWISE IN WRITING, THE SITE, ALL CONTENT, AND ALL PRODUCTS AND SERVICES PURCHASED OR PROVIDED THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, QUINN PARFUMS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; AND WARRANTIES AS TO THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUINN PARFUMS, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE; ANY PRODUCTS PURCHASED OR USED THROUGH THE SITE; UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR ANY STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SITE.

IN NO EVENT SHALL QUINN PARFUMS’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS, DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO QUINN PARFUMS FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD).

Quinn Parfums, shall not be held liable or responsible to you, nor be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfilling or performing any term of these Terms (including product delivery), when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including but not limited to: acts of God; flood, fire, earthquake, explosion, or other natural disasters; epidemics, pandemics, or public health emergencies; war, invasion, hostilities, terrorist threats or acts, riots, or other civil unrest; government orders, legislation, sanctions, embargoes, or blockades; national or regional emergencies; strikes, labor stoppages or disruptions; shortages of raw materials, glass, or packaging supplies; or transportation delays, customs holds, or carrier network failures. 

These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or products purchased from Quinn Parfums (whether in contract, tort, statutory, or otherwise), shall be governed by, construed, and enforced in accordance with the laws of the Commonwealth of Virginia, United States, without giving effect to any choice of law or conflict of law principles that would cause the application of the laws of any other jurisdiction. The parties expressly agree that the United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms or to any contract for the purchase of goods through the Site.

Subject to the jury waiver hereinbelow, you and Quinn Parfums irrevocably agree that any legal action, suit, or judicial proceeding arising out of or relating to these Terms, the Site, or products purchased from us shall be instituted exclusively in: a. The state or federal courts of competent jurisdiction located in the Eastern District of Virginia (Richmond Division). You irrevocably submit to the personal jurisdiction of such courts and waive any objection based on improper venue, inconvenient forum (forum non conveniens), or lack of personal jurisdiction.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND QUINN PARFUMS KNOWINGLY, VOLUNTARILY, INTENTIONALLY, AND IRREVOCABLY WAIVE ANY AND ALL RIGHT TO A TRIAL BY JURY IN ANY LEGAL SUIT, ACTION, CLAIM, COUNTERCLAIM, OR PROCEEDING (WHETHER BASED IN CONTRACT, TORT, STATUTE, FRAUD, OR ANY OTHER LEGAL THEORY) ARISING OUT OF, RELATING TO, OR IN CONNECTION WITH: a. THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF; b. THE SITE, ITS CONTENT, OR YOUR ACCESS TO AND USE THEREOF; OR c. ANY PRODUCTS OR SERVICES OFFERED, PURCHASED, SHIPPED, OR DELIVERED BY QUINN PARFUMS. YOU AND QUINN PARFUMS, LLC AGREE THAT ANY AND ALL DISPUTES SHALL BE TRIED AND DECIDED SOLELY BY A JUDGE SITTING AS THE TRIER OF FACT, AND NOT BY A JURY. YOU ACKNOWLEDGE THAT YOU HAVE HAD THE OPPORTUNITY TO READ AND CONSIDER THIS PROVISION, THAT YOU UNDERSTAND ITS LEGAL EFFECT, AND THAT YOU ARE FREELY AND VOLUNTARILY WAIVING YOUR RIGHT TO A JURY TRIAL. THIS PROVISION IS A MATERIAL INDUCEMENT FOR QUINN PARFUMS TO ALLOW YOU TO ACCESS THE SITE AND PURCHASE OUR PRODUCTS.

No waiver by Quinn Parfums of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

You acknowledge and agree that a breach or threatened breach by you of Quinn Parfum’s intellectual property rights or the licenses granted to you hereunder would cause irreparable harm to Quinn Parfums, for which monetary damages alone would be inadequate. Accordingly, in the event of any such breach or threatened breach, Quinn Parfums shall be entitled to seek immediate injunctive relief, specific performance, and any other equitable remedies from any court of competent jurisdiction, without the necessity of proving actual monetary damages or posting a bond or other security.

Except as expressly provided herein, all rights and remedies provided under these Terms are cumulative and not exclusive of any rights or remedies provided by law or in equity.  

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of these Terms and provide notice on the Site or via email to registered users prior to the changes taking effect. Your continued use of the Site following the effective date of any changes constitutes your binding acceptance of the updated Terms.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any sales invoices or order confirmations, constitute the entire agreement between you and Quinn Parfums regarding the Site and purchases, superseding all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral.
